Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Absouts ("Company," "we," "us," or "our") concerning your access to and use of our website, services, and products. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with all of these Terms, you are expressly prohibited from using our services and must discontinue use immediately.

We reserve the right to change or modify these Terms at any time and in our sole discretion. If we make changes, we will provide notice by updating the date at the top of these Terms. Your continued use of our services after revised Terms are posted means you accept the changes.

Unless otherwise indicated, our website and services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, trademarks, service marks, and logos, are owned or controlled by us or licensed to us.

The Content and Marks are protected by copyright, trademark, intellectual property, and unfair competition laws of Bangladesh and international conventions.

Except as expressly provided in these Terms, no part of our services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or exploited for a commercial purpose without our prior written permission.

By using our services, you represent and warrant that you have legal capacity, will comply with these Terms, are not under 18, will not access services through automated or non-human means, will not use services for illegal or unauthorized purposes, will not violate applicable law, and will provide truthful and accurate information.

You may not access or use our services for any purpose other than those we make available. Prohibited activities include systematic data retrieval, interference with security features, unauthorized framing or linking, fraud, misuse of support services, automated system use, service disruption, impersonation, unauthorized advertising, malware transmission, harassment, removal of proprietary notices, access restriction bypassing, software copying, or reverse engineering.

We provide business process outsourcing, software development, cloud accounting, and related services. We make every effort to display our services accurately, but we reserve the right to modify or discontinue services, refuse service, update descriptions and pricing, and limit service scope.

We cannot guarantee that services will always be available, uninterrupted, timely, secure, or error-free. We may change, suspend, or discontinue all or part of our services at any time without notice.

We maintain certain data you transmit to our services for managing service performance and usage. Although we perform routine backups, you are responsible for data you transmit or that relates to your service activity.

You agree that we shall have no liability for loss or corruption of such data. For information about how we handle data, refer to our Privacy Policy.

Certain services may require payment of fees. You agree to pay all fees associated with your use of our services according to the pricing, payment, and billing policies in effect when payment is due.

Fees are non-refundable unless otherwise stated in a separate written agreement. We may change fees upon reasonable notice. You are responsible for applicable taxes. Failure to pay may result in suspension or termination of services. Third-party payment processors may apply their own terms and privacy policies.

To the fullest extent permitted by law, we and our directors, employees, or agents will not be liable for direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, revenue, or data, arising from your use of our services, even if advised of the possibility of such damages.

Our liability to you for any cause and regardless of action form will be limited to the amount paid by you to us during the six month period before the cause of action arose.

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, officers, agents, partners, and employees, from any loss, damage, liability, claim, demand, attorneys' fees, or expenses made by a third party due to your use of our services, breach of these Terms, breach of representations and warranties, violation of third-party rights, or harmful act toward another user.

Our services are provided on an as-is and as-available basis. You agree that use of our services is at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We make no warranties or representations about the accuracy or completeness of service content or linked website content, and we assume no liability for errors, personal injury, unauthorized access, service interruption, harmful code, omissions, or loss arising from content made available through our services.

These Terms remain in full force while you use our services. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of our services to any person for any reason, including breach of these Terms or applicable law.

If we terminate or suspend your account, you are prohibited from registering a new account under your name, a false name, a borrowed name, or the name of any third party.

These Terms are governed by the laws of Bangladesh. Absouts and you irrevocably consent that the courts of Bangladesh have exclusive jurisdiction to resolve any dispute arising in connection with these Terms.

Any legal action brought by either you or us shall be commenced or prosecuted in the courts of Bangladesh. The parties consent to venue and jurisdiction in those courts and waive defenses of lack of personal jurisdiction and forum non conveniens.

We encourage you to contact us first to resolve disputes informally. If a dispute cannot be resolved informally, it will be resolved through binding arbitration in accordance with the laws of Bangladesh.

If any provision of these Terms is determined to be unlawful, void, or unenforceable, it will nonetheless be enforceable to the fullest extent permitted by law, and the unenforceable portion will be deemed severed without affecting remaining provisions.

Failure to exercise a right or require performance under these Terms does not affect the ability to exercise that right or require performance later, and waiver of a breach does not waive any subsequent breach.
